1. Introduction
These Terms and Conditions (the “Terms”) govern access to and use of the website, datasets, analytical tools, validation outputs, reports, and related services provided by TamRx Ltd (“TamRx”, “we”, “us”, or “our”).
By accessing or using any TamRx services, you agree to be legally bound by these Terms. If you do not agree, you must immediately cease use of the services.

3. Nature of Services
TamRx provides computational pharmacology and artificial intelligence validation infrastructure designed to support the testing, benchmarking, and evaluation of healthcare software systems.
Services may include:
- Synthetic and simulated datasets
- Stress-testing environments
- Benchmarking tools
- AI validation outputs (“AI Digital Leaflets”)
- Technical analysis and validation reports
All services are provided strictly for technical evaluation purposes.
4. Research Use Only
All services, datasets, and outputs provided by TamRx are supplied strictly on a:
Research Use Only (RUO) basis
They are not intended for:
- Clinical use
- Patient care
- Diagnostic or therapeutic decision-making
- Regulatory submission without independent validation
TamRx services do not replace clinical trials or regulatory processes.
5. Professional Use
TamRx services are made available exclusively to professional users, including organisations, developers, researchers, and institutions.
By using TamRx services, you represent and warrant that:
- You are acting in the course of business or professional activity
- You possess sufficient expertise to interpret outputs
- You will not use services for personal or consumer purposes
6. No Medical Advice
Nothing provided by TamRx constitutes:
- Medical advice
- Clinical diagnosis
- Treatment recommendation
Under no circumstances shall TamRx services be used for clinical decision-making or patient management.
7. AI Performance and Validation Disclaimer
TamRx services are designed to evaluate artificial intelligence systems under simulated and modelled conditions.
You acknowledge and agree that:
- AI system performance may vary significantly in real-world settings
- Physiological and pharmacological factors may alter model behaviour
- Outputs do not guarantee real-world performance
All outputs must be independently validated prior to any deployment.
8. Licence and Permitted Use
TamRx grants a limited, non-exclusive, non-transferable, revocable licence to use its services solely for:
- Internal research and development
- Model testing and validation
- Benchmarking purposes
No rights are granted beyond those expressly stated.
9. Prohibited Uses
You shall not:
- Use TamRx outputs for clinical care
- Redistribute or commercialise datasets without written consent
- Develop competing products using TamRx outputs
- Reverse engineer TamRx methodologies
- Present outputs as medical or regulatory evidence
TamRx reserves the right to suspend or terminate access in the event of breach.
10. Intellectual Property
All intellectual property rights in TamRx services remain the exclusive property of TamRx Ltd.
This includes, without limitation:
- Computational models
- PK/PD frameworks
- Simulation methodologies
- Validation systems
- Reports and documentation
No ownership rights are transferred.
11. Regulatory Responsibility
Users are solely responsible for ensuring compliance with all applicable laws and regulatory frameworks, including:
- MHRA requirements (UK)
- EU MDR / IVDR
- FDA regulations
TamRx does not warrant or guarantee regulatory approval of any system tested using its services.
12. Fees and Payment
Where applicable:
- Fees shall be specified in writing
- Invoices must be paid within agreed terms
- TamRx may suspend services for non-payment
- All fees are exclusive of VAT unless stated otherwise.
13. Disclaimer of Warranties
All services are provided:
“as is” and “as available”
TamRx makes no warranties, express or implied, including:
- Accuracy or completeness
- Fitness for a particular purpose
- Regulatory acceptance
14. Limitation of Liability
To the fullest extent permitted by the laws of England and Wales, TamRx shall not be liable for:
- Indirect or consequential losses
- Loss of profits or business
- Regulatory penalties
- Clinical outcomes
- AI deployment decisions
TamRx’s total liability shall not exceed the amount paid by the user in the preceding 12 months.
Nothing in these Terms excludes liability for:
- Fraud or fraudulent misrepresentation
- Death or personal injury caused by negligence
- Any liability that cannot be excluded under law
15. Confidentiality
You agree to treat all non-public TamRx materials as confidential and shall not disclose such information without prior written consent.
16. Suspension and Termination
TamRx may suspend or terminate access where:
- These Terms are breached
- Services are misused
- Payments are outstanding
- Legal or security risks arise
Upon termination, all use of TamRx services must cease immediately.
17. Amendments
TamRx reserves the right to amend these Terms at any time.
Updated Terms shall take effect upon publication on the TamRx website.
18. Governing Law
These Terms shall be governed by and construed in accordance with the laws of England and Wales.
19. Jurisdiction
The courts of England and Wales shall have exclusive jurisdiction over any dispute arising from or in connection with these Terms.
